Terms and Conditions

The following terms and conditions apply to the use of this web site and the business conducted with Brush Firm. These Terms shall be governed and construed in accordance with the laws Indian Companies Act 2013 with its registered office at 270, A-Block, Pocket-00, Sector-2, Rohini, Delhi-110085 without regard to its conflict of law provisions.Please read this agreement carefully before using this website; www.brushfirm.com. By accessing this website, you agree to be bound by the terms and conditions below. These terms and the content in this website may be revised and changed at any time at the discretion of Brush Firm and will be noted through changes to this website. If you do not agree to be bound by these terms and conditions, please exit the website immediately without further use.

International Trade Compliance

Brush Firm conducts its business in full accordance with all legal requirements and relevant sanctions for the import and export of goods in which we operate. For all orders outside of the India please email us at sales@brushfirm.com, the quantity you would like to purchase and the physical address, including postal code and we will reply with the shipping charges.

Warranty

Brush Firm, warrants its products to be free from defects in materials and workmanship. The Company’s sole obligation under this warranty is limited to providing, a replacement for or, at the Company’s option, repairing or issuing credit for any Product at no charge. This warranty is limited to Product returned to the Company within one month from the date of sale which, after inspection by the Company, is determined to be defective in materials or workmanship. This warrant shall not apply to normal wear and tear or to any Product which has been subjected to misuse or has been used in an improper application. There are no other warranties (expressed or implied, oral, or written) made by the Company except the warranty against defects in material and workmanship set forth above.

Excuse of Performance

Any delays in or failure of performance by the Company shall not be a default hereunder or give rise to liability in damages or otherwise if due to strike, lockout, concerted act of workers or other industrial disturbance (provided that Company shall not be required to make any concession or grant any demand or request to bring to an end any of the foregoing), fire, explosion, flood or other natural catastrophe, civil disturbance, riot or armed conflict whether declared or undeclared, impairment or outage of equipment, curtailment, shortage, rationing, or failure of normal sources of supply of labour, materials, transportation, energy, or utilities, accident, Act of God, delay of subcontractor or vendor, sufferance of or voluntary compliance with act of government and government regulation (whether or not valid), embargo, or due to any other cause whether similar of dissimilar to any of the causes or categories of causes described above and which is beyond the Company’s reasonable control.

Payment Terms/ Credit Default in Payment

The Company’s payment terms are Net 30 unless prior written approval is obtained from the Company. A finance charge of 1% per month periodic rate, which is an annual rate of 12%, will be incurred on all past due amounts. All orders and shipments are subject to the approval of Brush Firm’s President, and Brush Firm may at any time refuse to make shipment or delivery if Buyer fails to fulfil the terms and conditions of payment or fails to provide security satisfactory to Brush Firm. In the event Buyer fails to make payment on any contract between Buyer or any of its affiliates and Brush Firm in accordance with the terms of such contract, Brush Firm may, at its option and in addition to all other remedies available to it: (a) defer shipments hereunder until such payment is made and satisfactory credit arrangements are established; or (b) cancel the unshipped balance of this order. At Brush Firm’s option, interest will be charged after the due date up to the maximum lawful contract interest rate.

Taxes

The Company’s quoted prices exclude all taxes, dues and similar charges howsoever described and howsoever denominated. Any tax which Brush Firm may be required to pay or collect, through assessment or otherwise, under any existing or future law upon or with respect to the sale, purchase, delivery, transportation, exportation, storage, processing, use or consumption of any goods described herein, including, without limitation, taxes upon or measured by receipts from sales, shall be for Buyer’s account and may be added to the price of such goods. Buyer shall promptly pay the amount thereof to Brush Firm upon demand but may, in lieu of such payment, furnish to  evidence of the issuance of tax exemption certificates acceptable to the appropriate taxing authorities.

Freight / Packaging

Incoterms 2020: EXW (ex-works) Brush Firm facility. Brush Firm will charge for each pallet or crate based on dimension or special treatment and include the charge in the freight line item. There will be no charge for customer supplied crates. Brush Firm will use its reasonable efforts to comply with any special packaging, loading or bracing requirements specified in writing by Buyer in any order. Brush Firm will charge for compliance with Buyer’s special requirements in accordance with Brush Firm’s price for extras in effect at time of shipment. If no special requirements are specified by Buyer, Brush Firm shall comply with the minimum requirements customarily applied by Brush Firm to the method of transportation used for such goods.

Order Changes / Cancellations

The Company will make every effort, upon the customer’s request, to change or cancel the customer’s order. If the order has not yet started the production process, no additional change or cancellation fees will be applied in most cases. The customer shall be responsible for any special materials ordered for their made-to-order Product. Any restocking or cancellation fees incurred by the Company shall be the responsibility of the customer.

Returned Goods

No returns will be accepted by the Company without prior agreement and a Return Material Authorization number (RMA#) issued prior to Product being returned. The following return goods handling charges will be applied to product ordered in error or no longer needed by the customer: 20% restocking fee will be charged. Custom/special brushes are not returnable.

Technical Assistance

Unless otherwise expressly agreed to in writing by Brush Firm: (a) any technical advice provided by Brush Firm with respect to the use of goods furnished to Buyer shall be without charge; (b) Brush Firm assumes no obligation or liability for any such advice or for any results occurring as a result of the application of such advice; and (c) Buyer shall have sole responsibility for selection and specification of the goods appropriate for the anticipated end use.

Transportation

Standard shipping and handling charges are intended to cover the costs incurred to process, prepare, and transport your order and related customer service. Brush Firm has the right to select the carrier but will use its reasonable efforts to comply with Buyer’s requested method of transportation. Brush Firm reserves the right to use an alternate method of transportation, whether at a higher cost to Buyer, if the method specified by Buyer is deemed by Brush Firm to be unavailable or otherwise unsatisfactory. In any such case, Brush Firm shall promptly notify Buyer of any such change. Any storage and/or demurrage charges which may accrue on the goods hereunder are for Buyer’s account.

Damaged Goods

If any goods arrive at Buyer’s destination in a damaged condition or a shortage occurs, Buyer shall immediately report the damage or shortage in writing to the delivering carrier and to Brush Firm . Any loss or shortage of goods occasioned by damage, or otherwise occurring in transit, will be for Buyer’s account. Brush Firm may elect to assist Buyer in recovering damages, provided Buyer furnishes Brush Firm written authorization to recover damages from Buyer’s carrier.

Quality Assurance Specifications

Brush Firm shall have no obligation to ensure that any goods purchased from Brush Firm meet any special quality assurance specifications or other requirements, except as agreed upon in writing between Buyer and Brush Firm, and Buyer represents and warrants that goods which it purchases from Brush Firm will not be applied by Buyer to or resold by Buyer for application to any critical end use, unless the appropriate specification or other requirement for such end use is set forth by Buyer in writing and is expressly accepted, in writing, by Brush Firm. Brush Firm manufactures it products to the highest standards but does not guarantee that filaments will not occasionally be lost form a brush under normal use. In the event that any such goods supplied by Brush Firm are applied to a critical end use without the appropriate specification or other requirement therefor having been set forth in writing by Buyer and expressly accepted in writing by Brush Firm as provided above, Buyer shall indemnify and hold Brush Firm harmless from and against any and all damages or claims for damages made by any person for any injury, fatal or nonfatal, to any person, or for any damage to property, incident to or arising out of such application.
